Terms of Service

These Terms of Service ("Terms") govern your use of the MicroDC platform ("Platform"), operated by MicroDC ("we," "us," or "our"). By creating an account or using the Platform, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and legally permitted to enter into contracts in your jurisdiction. Accounts may not be created by individuals or entities in countries subject to U.S. OFAC sanctions or EU/UN embargo lists. We reserve the right to terminate accounts that violate these restrictions.

2. Account Registration and KYC

To access Host or Renter features, you must complete identity verification (KYC), including email and phone confirmation, government-issued ID upload, and liveness check. Providing false information during verification is grounds for immediate termination and may be reported to relevant authorities.

3. Platform Roles

A single account may operate as a Host (providing GPU compute), a Renter (consuming compute), or both simultaneously. Roles are activated independently and do not require separate accounts.

4. Host Obligations

• Hosts must install and maintain the MicroDC agent software on hardware they own or have legal right to use.
• Hosts must maintain a minimum uptime and not abandon jobs mid-execution. A 10% earnings hold applies when a host terminates a job without completing it.
• Hosts are responsible for the legality of their hardware's location, power use, and network access.
• Hosts are solely responsible for applicable taxes on earnings.

5. Renter Obligations

• Renters may only submit workloads that comply with applicable law. Prohibited workloads include but are not limited to: malware, illegal content generation, cryptocurrency mining without prior written consent, and any activity that violates export control regulations including the BIS AI Diffusion Rule.
• Renters are solely responsible for the Docker images and code they submit.
• Misuse of the Platform may result in immediate account suspension and forfeiture of wallet balance.

6. Payments and Fees

MicroDC retains a platform fee of 10–15% on each completed job transaction. Fees are deducted automatically at settlement. Wallet top-ups are non-refundable except where required by law. Payouts to Hosts are processed on a rolling basis subject to minimum thresholds and verification requirements.

7. Disputes

Job disputes (e.g., host failure to complete a job) are subject to automatic arbitration by MicroDC. Renters receive automatic refunds for host-caused failures. Contested decisions may be escalated to our support team at support@microdc.io.

8. Intellectual Property

You retain ownership of all data and code you submit to the Platform. You grant MicroDC a limited, non-exclusive license to execute your workloads for the purpose of providing the service. MicroDC retains ownership of the Platform software, trademarks, and infrastructure.

9. Disclaimers and Limitation of Liability

The Platform is provided "as is." MicroDC does not guarantee uptime, job completion, or specific performance. To the maximum extent permitted by law, MicroDC's liability for any claim arising out of your use of the Platform is limited to the amount you paid in fees in the 30 days preceding the claim.

10. Modifications

We may update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. Material changes will be communicated by email.

11. Governing Law

These Terms are governed by the laws of the State of Hawaii, United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Hawaii.
